The SuperCrowdHour on Reg CF due diligence goes live in one hour, at noon ET (9 PT). You can watch it right here in the player above or on SuperCrowd.tv on the web, Google TV, Fire TV or Roku.
Here’s the big idea before you join: a careful review of one crowdfunding offering takes a serious investor 27 to 49 hours. That’s a full work week, using nothing but Google, the Form C and the deal documents. Today I’ll walk through every hour of it.
Nobody checks the deal for you
The SEC does not approve a Form C before it goes live. The funding portal runs a basic background check, but a listing is not an endorsement. And the filings are less reliable than most people think. We studied every original Form C filed over 13 months, 1,009 in all. One in five had a mistake a careful reader could catch. One in 24 had something simply impossible, like more cash than total assets. Half were later amended.

Compare every deal to an index fund
Your real alternative is a low-cost index fund, which has earned roughly 9% a year after fees over long periods. Not venture capital: the funds that beat the market are closed to most of us. A deal earns your money only if it beats that fund as one small position.
Think of each deal as one bet among many
Picture each investment as one of 50 to 100 small positions. One startup failing is normal, and a portfolio already plans for it. What you must catch are the risks a portfolio can’t fix: fraud, a hidden debt that could sink the company, or terms that let small investors be wiped out. And give real credit to upside, because one big winner can pay for many losses.
The people step takes the longest
Of the ten steps, checking the founders takes the most time: 6 to 12 hours. Every claim in a bio gets checked. Did that company exist? Did it really sell? Was this person there when it did? Then come the court and regulatory records. One warning: the same name is not the same person. I’ll share how a court case almost smeared an innocent chairman.
Read what you actually get
Most Reg CF deals sell a SAFE: a promise of future shares, with no shares or vote today. That’s normal, but it isn’t a reason to invest. Priced preferred stock is a different animal, and I’ll show how to score the difference.
End with questions, not a guess
Every review should finish with a short list called What to Check First: the few questions that would change your mind. Ask them on the portal, and wait for the answers before you invest.
Watch in one hour
Press play above when we go live, or open SuperCrowd.tv. Stay to the end and I’ll show how to get that week of groundwork done in about 15 minutes, with SuperImpactScore.ai and the SuperCrowd Investment Directory. We’ll close with ten questions new investors ask most.
