What We’ll Cover—and Why It Matters
We’re going to talk about due diligence—yes, that phrase might sound like the stuff of Wall Street or venture capital boardrooms. But in truth, it’s just another way of saying: Let’s slow down, ask smart questions, and make sure this investment makes sense.
Most of us weren’t taught how to assess early-stage companies, especially ones raising capital through Regulation Crowdfunding. But that doesn’t mean it’s out of reach. You don’t need an MBA or a decade of investing experience to do this well. You just need the right framework.
I’ll walk you through a practical, five-part approach to due diligence that I’ve seen work again and again. It begins with understanding and accepting the risks—not just acknowledging that “startups are risky,” but really digging into which risks apply to each offering and how they could play out.
Next, we’ll explore the impact side of the equation. Why is this company raising money? What change are they trying to create in the world? And—perhaps more importantly—how will we know if they’re succeeding? Can we measure it? Does the impact align with your own values?
Then we look at the management team. Who are the people behind the company? What’s their track record? Are they qualified? Are they mission-driven? Is the leadership team diverse in thought, background, and experience? Because the reality is, in early-stage companies, you’re not investing in ideas—you’re investing in people.
From there, we’ll talk deal terms. This is where many investors tune out or skim the page, but the truth is, if you don’t understand what’s being offered, you may be buying something you don’t actually want. I’ll help you decode terms like valuation, equity, debt, revenue share, and explain why the structure of the deal matters as much as the mission behind it.
Finally, we’ll examine business prospects—the growth opportunity. Is there a viable market? Are the projections reasonable? Who’s the competition? I’ll share practical tips for gauging whether the business model can realistically support both social outcomes and financial returns.
